2. Officers’ and Managers’ Responsibilities
As a person who plays a role in company management, each aG officer and manager is responsible for taking the initiative and being a good example of compliance with applicable laws and regulations, with the particular aG company’s and the aG’s common rules, and with this Code of Conduct. Officers and managers are to instruct employees to ensure their understanding and compliance. In addition, the aG’s officers and managers must comprehend the specific risks within the scope of their duties and make efforts to prepare for any critical situations.
3. Observing Applicable Laws and Regulations and Their Spirit
As a member of society, we act in compliance with the applicable laws and regulations of our country or region, and with the spirit of the laws and regulations.
4. Acting with Responsibility and Dignity as a Member of Society
We maintain our dignity as a member of society and perform our duties in an earnest and responsible manner. In our business operations, we strive to accurately and appropriately ascertain and communicate the truth in an appropriate way. When we make a mistake, we do not conceal or ignore it, but rather promptly report it to a supervisor and ask for instructions.
5. Timely, Appropriate, and Accurate Disclosure of Information
We disclose corporate information in a timely, appropriate and accurate manner to the various stakeholders* associated with our company and act to gain trust as an open company.
Providing or disclosing false information about the company is unacceptable from the perspective of the corporation’s public nature and responsibility to society. When responding to inquiries from the media, we follow appropriate procedures to ensure legitimate and accurate information disclosure.
* A stakeholder is someone with an interest in the aG, including shareholders, investors, customers, business partners, employees, and members of the local community.
6. Maintaining Good Communication with Stakeholders
We strive to foster good communication with our stakeholders, sincerely listen to their opinions, become aware of their expectations and requests, and respond to them in our overall business activities.
7. Appropriate Use of Social Media
Recognizing that the actions of each person can affect the aG’s business activities and directly affect the evaluation of the aG, we act accordingly, using social media appropriately. In our private use of social media, we comply with laws and regulations and also with the particular aG company’s and the aG’s common rules, taking care that our personal statements on social media are not misunderstood to be statements by the aG or to reflect the official opinion of the aG.
8. Ensuring Safe Product Design
We are keenly aware that safety takes precedence over function, performance, and cost. Always keeping the safety of the user of our products* in mind, we develop and design our products so that they will not be the cause of an accident.
* “Products” here includes both goods and services.
9. Providing Warning Labels and Product Safety Information
In our user’s manuals, catalogs, product labels, etc., we place appropriate and sufficient safety-related cautions and warnings to ensure that our products can be used safely.
In addition to the user’s manuals accompanying our products, we provide accurate information on safety and correct product use through training programs, websites, etc.
10. Prompt Handling of Complaints and Appropriate Countermeasures for Non-Conforming Products
The handling of complaints is one of the most important matters for a company, since inappropriate handling may jeopardize the existence of the company. When we receive a complaint about a product, etc., we contact the relevant department and person and handle the complaint in a sincere and prompt manner. In the unlikely event that some serious non-conformity is found in our products, we give first priority to the safety of human life, as well as to the interests of our customers and the local community. We promptly investigate the cause of the problem, seek to mitigate the situation, and seek to prevent any reoccurrence. We also ensure appropriate disclosure concerning the incident both inside and outside the company.
11. Prohibition of Insider Trading
If we learn of any important facts about the aG before they are made public, we do not buy or sell any shares, etc., of Azbil Corporation until the facts are made public. Similarly, if we learn of any important undisclosed facts about a business partner, etc., that is a listed company, we do not trade in any shares, etc., of that company in any way whatsoever until the facts are made public.
In order to prevent insider trading, we do not divulge any important unpublished information in any way whatsoever, even to our family members or friends.
12. Rejection of groups that engage in anti-social behavior
We steadfastly adhere to the principles of not having any dealings, not making any financial transactions, and not fearing such groups or individuals, completely rejecting any relationship with them. In the unlikely event that we have a problem with criminal elements, we work together with the relevant departments and organizations and with firm resolve take prompt measures to deal with the problem at the corporate level.
13. Contributing to the Local Community
We endeavor to acquire a proper appreciation of, and give consideration to, the local culture, traditions, customs, etc., of the country or region. We also contribute to the development of the local community by means such as hiring personnel and dealing with environmental issues.
14. Activity That Contributes to Society
We proactively contribute to society through our business in order to bring about an enriched society and to fulfill our responsibility as a good citizen.
