15. Ban on Cartels, Bid Rigging, etc.
Consulting and cooperating with a competing company on sales prices, etc., may constitute an illegal cartel, bid rigging, or other conduct prohibited by law.
In addition, providing instructions to a dealer or requiring a certain resale price from a dealer may constitute a violation of anti-monopoly laws, competition laws, or laws and regulations on fair trade in the country or region.
We take care in our daily sales work so as not to violate the anti-monopoly laws, competition laws, or fair trade laws of the country and region, and we do not engage in any illegal acts that restrict market competition, such as making arrangements for prices, order volume, product models, or customers.
16. Ban on Exaggerated or False Labelling
It is important to publicize the advantages of aG products (both goods and services) and to differentiate them from competing products, but we do not use exaggerated expressions that are misleading, place any false labels, etc., regarding product quality, place of origin, etc.
17. Ban on Bribery of Public Officials
We treat public officials, politicians, and similar individuals according to the applicable laws and regulations, and do not improperly make payments of money or provide any convenience to public officials, etc., regardless of whether we are using company funds or personal funds.
In addition, we do not provide foreign public officials, politicians, and similar individuals with any money, gifts, entertainment, conveniences, etc., in order to obtain information or other unfair advantage.
18. Ban on Giving or Receiving Gifts or Entertainment Beyond the Scope of Accepted Practice
With our customers or business partners, when providing or receiving gifts or entertainment, we make sure not to exceed the scope of sound business practice and customary common sense.
19. Sound and Transparent Relations with Politics and Government
We maintain sound and transparent relations with politics and government. When making a political contribution or donation, we comply with the applicable laws and regulations and observe the internal procedures of the particular aG company and of the aG.
20. Observance of International Rules and Local Laws and Regulations
In international or overseas transactions, we comply with international rules and with local laws and regulations.
21. Fair and Impartial Decisions on Business Terms and Conditions
When selecting business partners, we compare and evaluate important terms and conditions such as quality, delivery due date, and price in a fair and impartial manner and make the decisions that are deemed to be the best for our company.
22. Compliance with Fair Trade
We do not give unfair profit to our business partners and do not receive it from them. Further, we do not receive any improper advantage, such as personal conveniences, from a business partner.
23. Fair Trade with Suppliers
We act in a fair and impartial manner in transactions with our subcontractors for production or services. We do not engage in acts that may harm our suppliers’ or subcontractors’ interests by taking advantage of our position as a contractor, such as delaying the payment of subcontracting fees, unjustly reducing subcontracting fees, coercing sales, etc., or unjustly demanding that subcontracted work be redone.
24. Ban on Sales or Intermediary Activity for Personal Profit
We do not sell or facilitate the sale of products or services that compete with those of the aG in order to obtain personal or third-party profit. In addition, we do not attempt to make any personal or third-party profit, and do not engage in any act that conflicts with the company’s profit based on our business position or information obtained in the course of our duties. Even if there is no inappropriate intention, we avoid any situation where a conflict of interest may be suspected, because such a situation may undermine trust in the aG’s fairness.
25. Ban on Illegal Business Transactions
In order to preserve international peace and security, when exporting cargo, providing or presenting technology, etc., we comply not only with the laws of Japan but also with trade security control laws and regulations, and we do not engage in any trade that would violate such laws.
26. Check of Intended Use and End Users
When selling products and providing technology, we make sure to check the intended use and the identity of the end users before delivery, in accordance with the rules set forth by the individual aG company, in order to prevent the products or technology from being used in weapons of mass destruction or for other military purposes, etc.
